Vendor Agreement

1. Vendor Eligibility

By registering as a vendor on Venderce, you confirm that you are at least 18 years old and legally permitted to operate a business in your jurisdiction. You agree to provide accurate, current, and complete information during the registration process.

2. Store Operations

As a vendor, you are solely responsible for:

• Maintaining accurate product listings, descriptions, and pricing
• Ensuring all products listed comply with applicable laws and regulations
• Processing and fulfilling orders within the stated timeframes
• Providing accurate inventory levels and updating stock promptly
• Responding to customer inquiries within 24 hours
• Maintaining high-quality product images and descriptions

3. Fees and Commission

Vendors agree to pay Venderce a commission on each sale as determined by the platform's commission structure. Commission rates may vary based on vendor tier, product category, and promotional agreements. All fees are deducted before fund release to the vendor's wallet.

4. Payment and Payouts

Venderce operates an escrow-like payment system. Customer payments are held by the platform until order fulfillment is confirmed. Payouts to vendors are processed according to the platform's payout schedule after:

• Order delivery is confirmed by the customer
• Or the auto-confirmation period has elapsed without dispute

5. Shipping and Fulfillment

Vendors must:

• Ship orders within the promised delivery timeframe
• Provide valid tracking information for all shipments
• Use reliable shipping carriers and adequate packaging
• Bear the cost of shipping unless otherwise agreed
• Handle customer shipping inquiries and complaints promptly

6. Order Cancellations and Refunds

6.1 Customer Cancellations

Customers may cancel orders before the Vendor marks them as Shipped. As a Vendor, you agree to:

• Accept cancellations initiated by customers through the Platform's cancellation process.
• Not ship orders that have been cancelled through the Platform.
• Ensure your inventory management system accounts for potential cancellations.

6.2 Refund Deduction from Pending Balance

• Refund amounts are deducted from the Vendor's pending balance at the time of cancellation.
• The Platform fee charged on the original transaction is also refunded (no fee is charged on cancelled orders).
• If a Vendor's pending balance is insufficient to cover a refund, Venderce will investigate and may take corrective action, including adjusting future payouts.
• Frequent cancellations may affect a Vendor's account standing and dispute history.

6.3 Cancellation Prevention

To minimize cancellations, Vendors should:

• Keep inventory levels accurate and up to date.
• Respond promptly to customer inquiries about order status.
• Process and ship orders quickly after they are placed.
• Clearly communicate any potential delays to customers.

6.4 Returns and Dispute Refunds

Customers may initiate returns within the platform's specified return window. Vendors are responsible for processing refunds in accordance with platform policies. Disputed transactions may be reviewed and resolved by Venderce admin. Refunds resulting from dispute resolutions are also deducted from the Vendor's pending balance.

7. Prohibited Activities

Vendors may not:

• List counterfeit or unauthorized products
• Engage in price fixing or collusive practices
• Manipulate product ratings or reviews
• Contact customers outside the platform for transactions
• Share customer personal data with third parties
• Use the platform for any illegal or fraudulent activity

8. Account Suspension and Termination

Venderce reserves the right to suspend or terminate vendor accounts for violation of this agreement, platform policies, or applicable laws. Blocked vendors may submit an appeal through the designated appeals process.

9. Intellectual Property

Vendors retain ownership of their product images, descriptions, and brand content. By listing on Venderce, vendors grant the platform a license to display their content for marketplace operations. Vendors may not use Venderce's brand assets without prior written consent.

10. Limitation of Liability

Venderce acts as a marketplace intermediary and is not liable for disputes between vendors and customers. The platform's liability is limited to the fees earned on the transaction in question.

11. Agreement Updates

Venderce may update this agreement at any time. Vendors will be notified of material changes. Continued use of the platform after updates constitutes acceptance of the revised terms.
